VCI Institute – Terms & Conditions

Welcome to VCI Institute (“we,” “us,” or “our”). These Terms & Conditions (“Terms”) outline the rules and regulations for the use of VCI Institute’s website, located at www.vciinstitute.com (the “Site”), and all related courses, products, and services (collectively, the “Services”).

By accessing or using our Site or Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not continue to use our Site or Services.

 

1. Intellectual Property Rights

  1. Ownership
    Unless otherwise stated, VCI Institute and/or its licensors own all intellectual property rights for the materials on VCI Institute. All intellectual property rights are reserved.

  2. Permitted Use
    You may access and use materials from VCI Institute for your personal, non-commercial use, subject to the restrictions outlined in these Terms.

  3. Prohibited Uses
    You must not:

    • Republish material from VCI Institute.
    • Sell, rent, or sub-license material from VCI Institute.
    • Reproduce, duplicate, or copy material from VCI Institute.
    • Redistribute content from VCI Institute.

  4. Copyright Notice
    The following courses (and all their materials) are copyrighted as of May 2024:

    • Total Value Creation
    • AI Value Creation Accelerator
    • Certified Value Creation Analyst
    • Certified Operating Partner in Private Equity
    • The Growth Executive Officer

 

2. Payments & Refund Policy

2.1 Pricing & Currency

  • Pricing in USD: All course and membership fees are listed and charged in United States Dollars (USD). Since VCI Institute is based in Canada, you acknowledge that currency exchange rates may apply and can fluctuate.
  • Payment Methods: We accept the following payment methods:
    1. Kajabi Payments (credit/debit cards, Apple Pay, Google Pay)
    2. PayPal
  • Transaction Fees: You may be responsible for any foreign exchange fees or other charges imposed by your card issuer or PayPal, depending on your location and payment method.

2.2 Payment Processing & FX Risk

  • FX Conversion: Although you pay in USD, Kajabi remits funds to VCI Institute in CAD. VCI Institute bears the currency exchange risk on its end, but is not liable for additional conversion fees or other bank charges you may incur.
  • Receipts: You will receive a receipt or order confirmation at the time of purchase, reflecting the USD amount charged.

2.3 Refund Policy

  1. 7-Day Refund Window
    We offer refunds only within 7 days of the original purchase date. To request a refund, please email support@vciinstitute.org within 7 days of your purchase date.

  2. Refund Process

    • Information Required: Include your full name, the course/program purchased, and a brief explanation for your refund request.
    • Original Payment Method: All refunds will be processed back to the original payment method used.

  3. Processing Fees

    • Refunds may be subject to a 3% processing fee to cover non-recoverable transaction costs from our payment processors (e.g., Kajabi, PayPal).
    • This fee will be deducted from the total refund amount.

  4. Refund Eligibility

    • Refund requests made beyond 7 days from the purchase date will not be honored.
    • VCI Institute reserves the right to decline a refund request if there is evidence of significant course usage, fraud, or violation of these Terms (e.g., academic dishonesty).

2.4 Subscription or Recurring Payments (If Applicable)

  • No Partial Refunds: For any recurring subscription plans, each billing cycle is final upon payment. If a subscription is canceled mid-cycle, no partial refund will be issued for the unused period.

2.5 Course Access & Cancellations

  1. Limited Access
    Some VCI Institute courses have a limited duration of access (see Section 3 for details). The 7-day refund window remains the same, regardless of the course duration.
  2. Cancellation Beyond Refund Period
    After the 7-day period, if you discontinue the course or program, no refund is available. You retain access for the remainder of your allotted course timeframe, unless you have violated any of our Terms.

2.6 Refund & Cancellation Requests

All refund and cancellation inquiries must be sent to:

We aim to respond within 3–5 business days regarding the status of your request.

 

3. Course Access

  1. Limited Access Terms
    Some courses provided by VCI Institute grant access for a limited period. Typically, the access period is double the duration of the drip schedule. Examples:
    • If the drip schedule is 170 days, access is granted for 1 year.
    • If the drip schedule is 4 weeks, access is granted for 2 months.
  2. No Extension Guarantee
    Extensions beyond this period are not guaranteed and may incur additional fees if requested.

 

4. Course Content Updates

VCI Institute reserves the right to update and augment course content during delivery. This ensures that all information remains accurate, current, and relevant.

 

5. Webinars

  1. Scheduling
    Webinars are provided on selected dates, depending on availability and membership levels.
  2. Evergreen Courses
    Since our courses are evergreen (i.e., they have no fixed start date), different users may study the same course at different times. We appreciate your patience while awaiting the next available webinar.

 

6. Non-Profit Status

VCI Institute operates as a non-profit organization. While we strive to maintain minimal costs, we do incur necessary expenses such as staff salaries and operational overheads.

 

7. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada. You irrevocably submit to the exclusive jurisdiction of the courts in that province or location for any disputes.

 

8. User Accounts

  1. Account Creation
    Certain features of the Site or Services may require you to create an account. You must provide accurate and complete information and keep this information updated.
  2. Account Security
    You are solely responsible for all activities that occur under your account. Keep your login credentials secure, and promptly notify us of any unauthorized use or suspected breach.

 

9. Limitations of Liability

VCI Institute will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your use of or inability to use our Services.
  2. Unauthorized access to or use of our servers and/or any personal information stored therein.
  3. Interruption or cessation of transmission to or from our Services.
  4. Bugs, viruses, trojan horses, or the like that may be transmitted by any third party.
  5. Errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available.
  6. The defamatory, offensive, or illegal conduct of any third party.

 

10. Academic Integrity

  1. Policy
    VCI Institute takes academic integrity seriously. In cases of suspected fraud, plagiarism, or cheating (especially for certification courses), we reserve the right to remove a student from the course without refund.
  2. Prohibited Conduct
    • Sharing course or exam content online.
    • Collaborating on exams or projects intended for individual assessment.

 

11. Legal Waiver

Students agree not to sue or file legal actions against VCI Institute. By using our Services, students acknowledge that VCI Institute is in an early stage and agree to be patient as our systems scale up.

 

12. Indemnity

You agree to indemnify, defend, and hold harmless VCI Institute, its directors, officers, employees, volunteers, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts (including attorney’s fees) arising from:

  1. Your use of and access to the Service, including any data or content transmitted or received by you.
  2. Your violation of any term of these Terms.
  3. Your violation of any third-party right, including any privacy or intellectual property right.
  4. Your violation of any applicable law, rule, or regulation.
  5. Any claim or damages that arise as a result of any of your User Content or any content submitted via your account.
  6. Any other party’s access and use of the Service with your unique username, password, or other appropriate security code.

 

13. Changes to Terms

VCI Institute reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a “material change” will be determined at our sole discretion.
